Pro Rata Share

"Pro Rata Share" means, as to each Lender at any time, a fraction (expressed as a percentage, carried out to the ninth decimal place), the numerator of which is the amount of the Revolving Commitment of such Lender at such time and the denominator of which is the amount of the Aggregate Revolving Commitments at such time, subject to adjustment as provided in Section 2.15; provided that if the commitment of each Lender to make Revolving Loans and the obligation of the L/C Issuer to make L/C Credit Extensions have been terminated pursuant to Section 9.02, then the Pro Rata Share of each Lender shall be determined based on the Pro Rata Share of such Lender immediately prior to such termination and after giving effect to any subsequent assignments made pursuant to the terms hereof. The initial Pro Rata Share of each Lender is set forth opposite the name of such Lender on Schedule 2.01 or in the Assignment and Assumption pursuant to which such Lender becomes a party hereto, as applicable. Notwithstanding the foregoing, before the Full Availability Closing Date, the Pro Rata Share for any Lender shall be a fraction the numerator of which is such Lender's "Interim Commitment" as set forth in Part B of Schedule I, as may be modified from time to time pursuant to the terms of this Agreement and any applicable Assignment and Assumption, and the denominator of which is the "Total Interim Commitments" then in effect as set forth in Part B of Schedule I (it being understood any modification of any Lender's Commitment or the Aggregate Revolving Commitments, other than a reduction of Commitments on the Full Availability Expiration Date, shall be deemed to result in the same modification of such Lender's "Interim Commitment" or the "Total Interim Commitments" as set forth in Part B of Schedule I on a ratable basis, respectively (i.e., a reduction of such Lender's Commitment or the Aggregate Revolving Commitments by any amount results in a reduction of such Lender's "Interim Commitment" or the "Total Interim Commitments", respectively, by 1/4 of such amount)).
