Clause Information
Termination Fee. An amount equal to one (1) month's Base Management Fee based on the average Base Management Fee over the three (3) months preceding the month in which the Term is terminated. When applicable, the Termination Fee shall be paid to Manager in addition to all other fees and amounts due to Manager pursuant to this Agreement. The parties agree that the Termination Fee is designed to reasonably compensate Manager for its costs incurred in taking on the management of the Project for a short term and Manager's investment in time, resources and employees in that endeavor, all of which costs would be extremely difficult, if not impossible, to specifically calculate with any degree of accuracy.
