Clause Information
Survival of Representations and Warranties. It is understood that all representations, warranties, terms and conditions herein or contained in certificates or documents submitted pursuant to or in connection with the transactions contemplated herein shall survive: (a) the payment for the Subscription Receipts at the Closing Time; and (b) and the termination of this Agreement, and shall continue in full force and effect for the benefit of the Underwriter regardless of any investigation by or on behalf of the Underwriter with respect thereto.
