Successors and Assigns

Successors and Assigns. This Loan Agreement shall be binding upon and inure to the benefit of the Lender, the Borrower and the Guarantor and their respective successors and assigns, except that (a) neither MMC nor ERD may assign or transfer any of its rights or obligations under this Loan Agreement without the prior written consent of the other Party, and (b) the Borrower may not assign or transfer any of its rights or obligations under this Loan Agreement without the prior written consent of each of MMC and ERD. The Original Lender shall maintain a register with respect to any such assignments, which shall be conclusive as to the ownership by the Lender or any assignee of any of the rights and obligations by the Lender or assignee under this Loan Agreement.
