Successors and Assigns. (a) This Agreement becomes effective only when executed by the Company and the Investor. After that time, it will be binding upon and enure to the benefit of the Company and the Investor and their respective successors and permitted assigns. (b) Neither this Agreement nor any of the rights or obligations under this Agreement are assignable or transferable by any Party without the prior written consent of the other Party, provided however that the Investor (or any permitted assign of the Investor) may, at any time upon giving notice to the Company, assign its rights and obligations under this Agreement without such consent to any Person that is controlled by the Investor, provided that (i) such assignee delivers an instrument in writing confirming that it is bound by and shall perform all of the obligations of the assigning party under this Agreement as if it were an original signatory and (ii) the Investor shall not be relieved of its obligations hereunder.
