Clause Information
Solvency. Each Contributed Entity is solvent for all purposes under federal bankruptcy and applicable state fraudulent transfer and fraudulent conveyance Laws. The performance by the Contributed Entities of the other Transaction Agreements, to which they are a party, will not render any Contributed Entity insolvent and does not constitute a fraudulent transfer or conveyance under such Laws.
