Clause Information
Solvency. Each of the EL Entities is solvent for all purposes under federal bankruptcy and applicable state fraudulent transfer and fraudulent conveyance Laws. The performance by each of the EL Entities of its obligations under this Agreement and the other Transaction Agreements will not render such EL Entity insolvent and does not constitute a fraudulent transfer or conveyance under such Laws.
