Representations and Warranties. The Issuer represents and warrants to the Trustee that: (a) it is a corporation validly existing under the federal laws of Canada; (b) it has the corporate power and capacity and the full power and authority to execute and deliver this Indenture; (c) it will not, by entering into this Indenture, contravene any law or the constating documents of the Issuer or any agreement by which it is bound; and (d) there are no actions or proceedings pending or, to the knowledge of the Issuer, threatened, which challenge the validity of this Indenture or which would materially adversely affect the ability of the Issuer to perform its obligations under this Indenture or any document evidencing any indebtedness of the Issuer to the Trustee or the Holders.
