Representations and Warranties of the Purchaser

Representations and Warranties of the Purchaser. The Purchaser, acknowledging that the Seller Entities are entering into this Agreement in reliance thereon, hereby makes the representations and warranties set forth in Schedule G to the Seller Entities. From time to time prior to Closing, the Purchaser shall have the right to supplement or amend the information set forth on Schedule G with respect to any matter hereafter arising that, if existing or occurring at or prior to the Effective Date, would have been required to be set forth or described in Schedule G. Schedule G shall be deemed supplemented and amended, as applicable and in all respects and for all purposes under this Agreement, to give effect to such supplement(s) and amendment(s). Unless a representation or warranty given pursuant to Schedule G speaks as of a specific date, in which case such representation or warranty shall only be made or provided with respect of such date, such representations and warranties shall be on and as of the Effective Date and shall, subject to being supplemented or amended in accordance with this Section 9.2, be deemed to be repeated on and as of the Closing Date.
