Purchase Price. The purchase price for the Purchased Shares is the sum of $485,255.00 (the " Purchase Price "), payable on the Closing Date through the issuance of 63,020 common shares of the Purchaser at a rate of $7.70 per share (the "Consideration Shares"). In addition to the Consideration Shares, the Purchaser shall pay the Vendors $200,246.88 in cash representing cash held by the Corporation in operating and reserve accounts (the "Account Proceeds").
