Clause Information
Order of Precedence. The parties intend for the express terms and conditions contained in this Agreement (including schedules and exhibits hereto) and in each statement of work executed by authorized representatives of each party ("Statement(s) of Work") to exclusively govern and control each party's respective rights and obligations regarding the provision of Promotional Activities, and the parties' agreement is expressly limited to such terms and conditions. From time to time during the Term, the parties may enter into one or more Statements of Work. The provisions set forth in each Statement of Work are incorporated by reference into this Agreement for all purposes hereunder. Notwithstanding the foregoing, if any provisions contained in a Statement of Work directly conflict with any terms and conditions contained in this Agreement, the applicable provision of this Agreement will prevail and such conflicting provision(s) in the Statement of Work will have no force or effect.
