No Undisclosed Liabilities. ParentCo has no liabilities of the type required to be reflected as liabilities on a consolidated balance sheet prepared in accordance with IFRS, other than (a) liabilities disclosed in the ParentCo Public Documents, (b) liabilities incurred in ParentCo's ordinary course of business since September 30, 2017, (c) liabilities incurred in connection with this Agreement, and (d) liabilities that would not be reasonably expected to constitute, individually or in the aggregate, a Material Adverse Change regarding ParentCo.
