Clause Information
ARBITRATION. Except as expressly provided for in Section 3.2, any and all disputes arising under this Indenture, the Earnout Rights and the Earnout Rights Certificates, whether as to interpretation, performance or otherwise, shall be referred to and finally resolved by arbitration by one arbitrator, conducted in accordance with the Arbitration Act 1991 (Ontario) , in Toronto, Ontario.
